Terms of Service

By creating an account or using any part of the Spectrum platform, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the service.

You must be at least 18 years old and capable of forming a binding contract under Indian law. If you are using Spectrum on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

We may revise these Terms at any time. Material changes will be notified by email and in-app notice at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

Spectrum is a quantitative portfolio analytics platform for Indian equity investors. It provides tools for performance measurement, risk analysis, factor-based attribution, portfolio optimisation, market data, and AI-assisted interpretation of financial metrics. All outputs are for informational and analytical purposes only.

Spectrum AI is an analytics and reporting tool. It does not provide investment advice, financial planning services, portfolio management, brokerage, or any service regulated under the SEBI (Investment Advisers) Regulations 2013 or the SEBI (Portfolio Managers) Regulations 2020. Nothing on the platform constitutes a recommendation to buy, sell, or hold any security.

Spectrum includes an AI-powered assistant that can explain analytics, interpret metrics, and answer questions about your portfolio data. AI-generated responses are for educational and informational purposes only and must not be relied upon as financial advice. AI outputs may contain errors or omissions; always verify material information independently.

Market data, index values, corporate action adjustments, and economic indicators are sourced from third-party data providers. While we make reasonable efforts to ensure accuracy, we do not warrant that data is complete, error-free, or current. Market data may be delayed by up to 15 minutes.

You must provide accurate, current, and complete information when registering. You are responsible for keeping your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your credentials with any third party. Notify us immediately at support@spectrumanalytics.in if you suspect unauthorised access to your account.

Each individual user may maintain only one free-tier account. Creating multiple accounts to circumvent plan limits is a material breach of these Terms and may result in immediate termination of all associated accounts.

Spectrum is offered on a freemium basis with paid subscription tiers ("Pro" and "Institutional"). Paid plans are billed monthly or annually in Indian Rupees (INR) inclusive of applicable GST. Current pricing is published at spectrumanalytics.in/pricing.

Subscription fees are charged in advance at the start of each billing cycle. Payments are processed by our third-party payment provider. By providing payment details, you authorise us to charge your payment method for all fees incurred.

Where a free trial is offered, it begins on the date of your first subscription. At the end of the trial, your plan will automatically convert to the paid tier at the stated price unless you cancel before the trial ends.

Annual subscriptions are eligible for a prorated refund if cancelled within 30 days of the billing date. Monthly subscriptions are non-refundable. Refunds will not be issued for partial months or for accounts terminated due to breach of these Terms.

We may change subscription prices with 30 days' notice. Price changes will not affect the current billing cycle; they take effect on the next renewal date.

You may use Spectrum solely for your own lawful portfolio analytics purposes or, in the case of a business subscription, for the internal analytics needs of your organisation.

You must not: (a) use the platform to engage in market manipulation, insider trading, or any activity prohibited under the SEBI Act or the Securities Contracts (Regulation) Act 1956; (b) reverse-engineer, decompile, or attempt to extract source code from the platform; (c) use automated scripts, bots, or scrapers to extract data at scale; (d) resell, sublicense, or redistribute Spectrum's analytics outputs or data as a commercial product without our written consent; (e) upload false, misleading, or fraudulent portfolio data; or (f) attempt to circumvent the platform's security measures or access data belonging to other users.

You are solely responsible for ensuring that your use of Spectrum complies with all applicable laws and regulations, including securities laws, tax laws, and SEBI regulations.

All rights, title, and interest in the Spectrum platform — including software, algorithms, quantitative models, user interface, branding, and documentation — are owned by Spectrum Analytics or its licensors and are protected by copyright, trade secret, and other intellectual property laws.

You retain ownership of all portfolio data, holdings information, and transaction records you upload to the platform. You grant Spectrum a limited, non-exclusive licence to process your data solely to provide the service to you.

If you submit feedback, suggestions, or ideas about the service, you grant us a royalty-free, perpetual licence to use that feedback without restriction or compensation to you.

You may download and use analytics reports generated by Spectrum for your personal or internal business purposes. You may not resell, publicly redistribute, or present these reports as your own original research without clearly attributing them to Spectrum.

Spectrum does not hold a SEBI Investment Adviser registration. All metrics, factor scores, optimisation outputs, and AI-generated commentary are provided for informational and educational purposes only. They do not constitute investment advice, solicitation to transact in securities, or portfolio management services.

Historical performance data, backtests, and simulations shown on the platform are not guarantees of future results. Equity investments are subject to market risk and can result in the loss of capital.

Quantitative models — including factor regressions, regime detection, stress tests, and efficient frontier optimisations — are based on historical data and mathematical assumptions that may not hold in all market conditions. Model outputs should be treated as one input among many in any investment decision process.

Before making any investment decision based on information viewed on Spectrum, you should consult a SEBI-registered investment adviser who understands your individual financial situation, risk tolerance, and objectives.

The Spectrum platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of data, or uninterrupted availability.

To the maximum extent permitted by applicable law, Spectrum's aggregate liability to you for any claims arising out of or related to these Terms or the service shall not exceed the greater of (a) the total fees paid by you in the 3 months preceding the claim, or (b) INR 5,000. Spectrum shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits or investment losses.

Spectrum is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including SEBI regulatory actions, exchange outages, internet disruptions, natural disasters, or government-mandated shutdowns.

You may cancel your subscription and close your account at any time from your account settings. Cancellation takes effect at the end of the current billing cycle. Analytics data will be available until then; after termination, your data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account immediately without notice if you breach these Terms, engage in fraudulent activity, or if continued service would expose us to legal liability. We may also terminate accounts on paid plans that are more than 15 days overdue after providing 7 days' notice.

Upon termination, your right to use the service ends immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

Before initiating legal proceedings, you agree to first attempt good-faith negotiation with us. Send a written description of your dispute to legal@spectrumanalytics.in. If not resolved within 30 days, disputes may be escalated to binding arbitration under the Arbitration and Conciliation Act 1996, with a single arbitrator, proceedings conducted in English, and the seat of arbitration in Mumbai.

If your complaint relates to a regulated financial activity, you may also approach the relevant regulatory authority such as SEBI's SCORES (SEBI Complaints Redress System) at scores.sebi.gov.in.
